Terms of Service

These Terms of Service ("Terms") govern the use of Editorial Transform ("the Service"), a B2B publishing tool operated by Michael Krivda as an individual sole operator ("we", "our" — used throughout as a legal convention only). By connecting a YouTube channel to the Service via OAuth 2.0, the publisher ("Publisher", "you") agrees to these Terms.

Editorial Transform is a video production and multi-channel distribution tool. It assists Publisher's editorial team in producing short-form and long-form videos (vertical Shorts, horizontal landscape videos, and multi-story digest compilations) from Publisher's own editorial articles, and — subject to editorial approval — delivers those videos to:

All AI-assisted production (script drafting, voice-over synthesis, visual composition) is initiated and reviewable by Publisher's editors, who may rewrite scripts, adjust subtitles, swap or upload photos, edit poster titles, and re-render before approving publication. The Service is intended solely for use by verified news publishers with editorial rights to the source content.

5. YouTube API Services Terms

By using the Service, you acknowledge that you are also bound by the YouTube API Services Terms of Service and the Google Privacy Policy. You can revoke the Service's access to your Google account at any time via the Google security settings page.

6. Fair use and quotas

We reserve the right to enforce reasonable rate limits and daily upload quotas per Publisher to ensure fair usage of shared infrastructure and compliance with YouTube API quota policies. Current defaults are configurable in your admin panel.

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from third-party interference (including changes to third-party APIs). To the maximum extent permitted by law, we disclaim liability for indirect, incidental, or consequential damages arising from use of the Service.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to Publishers via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

10. Data protection and GDPR

Because our infrastructure is located in the European Union (Hetzner Cloud, Germany) and we serve publishers whose audiences may include EU residents, we operate in alignment with the EU General Data Protection Regulation (GDPR). Details of data collected, processing purposes, retention periods, and Data Subject Rights are set out in the Privacy Policy. Where a conflict exists between these Terms and applicable data protection law, the applicable data protection law shall prevail.

11. Governing law

These Terms are governed by the laws of Ukraine. Any dispute arising from or in connection with these Terms shall be resolved through good-faith negotiation between the parties, and, failing that, in the competent courts of Ukraine. Nothing in this section limits Publisher's rights under mandatory local consumer protection or data protection law where such law would apply.
